Ten Cate completes acquisition of Polyfelt and sale of Permess and Multistiq

Following on from earlier reports, Royal Ten Cate announces that the Polyfelt acquisition process has been formally completed, thus making the takeover a reality. The approval of the competition authorities has been obtained. The acquisition involved an amount of €70 million, which has been financed from ongoing credit facilities.

The consortium of Ten Cate Advanced Composites and the German firm BSSt will supply the new vest for the Dutch police force. Following extensive tests, the vest from this consortium proved to be the best in meeting the schedule of demands regarding safety and comfort.
Royal Ten Cate sells Ten Cate Permess and Multistiq

Royal Ten Cate announces that there is good reason to expect that the companies of Ten Cate Permess (the Netherlands, Italy and the United Kingdom) and Multistiq (the Netherlands) will be sold to their management. This transaction will be completed before the end of November. The business units concerned currently have 112 employees. The sale, which will take place at book value, involves an amount of more than €10 million in net assets.
Royal Ten Cate operational net profit for third quarter 29% higher

• Artificial grass, aerospace and antiballistic composites, protective fabrics and geosynthetics show continued growth in sales and a sharp rise in profit contribution;
• Operating result of Technical Components in the third quarter considerably lower as a result of a decline in sales and one-off costs at Ten Cate Enbi (France);
• Once again the rising costs of raw materials (granulates) are having an impact on profitability in the third quarter;
• Maintenance of net profit forecast for 2005; €26-29 million.

On Sunday October 30 the Dutch newspaper De Telegraaf published an article regarding negative environmental aspects of the use of rubber tire material for infill purposes, without informing Ten Cate prior to the publication. Although Ten Cate was not mentioned in the article, the content could be explained negatively for one of Ten Cate’s core activities: synthetic grass.
Ten Cate Thiolon invests in capacity expansion for synthetic turf

As a result of further sales growth of synthetic turf, investment projects amounting to € 10 million for Ten Cate Thiolon (www.thiolongrass.com), part of the sector Industrial Fabrics & Grass of Royal Ten Cate, have been approved. Taken into consideration the total amount of investments in fixed assets of Royal Ten Cate during the whole of 2004, this is a substantial investment for the company. The investment is aimed for capacity increase as well as for future cost reductions and improvements of logistics. Investments will take place in both the US and The Netherlands. The sector Industrial Fabrics & Grass showed a sound organic growth. For 2006 Ten Cate Thiolon sees a continuation of its growth, which will also take place in other segments than specific sport applications. Landscaping is such an example. In de United States multi-sport pitches for universities and high-schools form an important area of sales as well.
Ten Cate reaches agreement on takeover of market leader Polyfelt

Royal Ten Cate acquires European market leader in geosynthetics Polyfelt GmbH (www.polyfelt.com) from OMV Refining & Marketing GmbH (Vienna). As a result of this takeover, Ten Cate will achieve a leading global position in the market for geotextile materials. By merging the combined complementary product portfolios in particular the market positions in Europe and Asia are considerably strengthened. Polyfelt, with production facilities in Linz, Bezons/Paris and Kuala Lumpur, has annual sales of approximately €90 million and employs 364 people. Approximately 70% of Polyfelt’s sales are generated in Europe. In addition, Polyfelt has a 50% interest in the Australian company, Geofabrics Australasia.
Royal Ten Cate half-year profits rise by 21%

The net profit of Royal Ten Cate for the first half of 2005 increased by € 2.6 million (+21%) to € 15.0 million. Earnings per share increased to € 2.92 (+19%). Sales rose by 16% to € 351 million, with organic growth accounting for 14% of the rise. The net effect of acquisitions and divestments on sales is +4%. The effect of currency movements on sales amounted to -2%. The operating result (EBIT) rose by 24% (organically by 26%) to € 19 million.
Heracles Almelo enters league with FIFA-approved artificial turf pitch

FIFA has awarded Heracles Almelo the FIFA**(FIFA two-star) certification for the new pitch at its stadium. Heracles Almelo’s pitch thus becomes the first FIFA**-approved artificial turf pitch to be used for matches played in the premier league and the first artificial turf pitch in the European competition to meet these stringent requirements. Obtaining this certification is an important achievement, which will allow participation in league and friendly matches at both national and international level.
