(Jan) Albers (1952) was appointed member and chairman of the Executive Board, with the title of Chief Executive Officer (CEO). 

As from 29 January 2016 Jan Albers was chairman of the Supervisory Board of TenCate and has stepped down from this position. Mr B.T. (Boudewijn) Boudewijn Molenaar (1953), member of the Supervisory Board of TenCate, will take over the position of Jan Albers as chairman of the Supervisory Board. 

During this General Meeting Mr F.J.A.M. (Fred) van Houten (1951), on recommendation of the Central Works Council of TenCate, was appointed member of the Supervisory Board. Mr. Van Houten is leading the Faculty of Design, Production and Management and is Professor in Design Engineering at the University Twente. He is also engaged in several other positions outside the University, such as member of the Supervisory Board of Apollo Vredestein B.V.

In addition, he served as the Program Executive Officer of Air, Space & Missile Defense, the deputy for systems acquisition at the Tank and Automotive Command (TACOM), and is responsible for establishing the U.S. Army’s Warfighter Information Network – Tactical (WIN-T).

John Urias earned a master’s degree in national security and strategic studies from the Naval War College and a master’s degree in electrical engineering from the Naval Postgraduate School, and a bachelor’s degree in biological sciences from the University of California, Davis.

Focus on Sports Safety
It is well known that synthetic turf fields typically provide players higher traction than natural grass. However, NFL statistics show that lower leg injuries are more prevalent on synthetic turf than on natural grass. GreenFields addresses this problem since it has physical characteristics that are closer to natural grass than any other synthetic turf product.

The ThermoPlastic composites Research Center (TPRC) in partnership with the Fokker business unit of GKN and TenCate Advanced Composites have jointly won the JEC 2016 Innovation award for Aeronautics with their Carbon / PPS (C/PPS) leading edge access door panel, made utilizing recycled thermoplastic composites.

This success demonstrates the viability of integrating recycled thermoplastic composites into an existing manufacturing process.
The access door panel is made using TenCate Cetex® TC1100 (C/PPS) woven thermoplastic composite material, reclaimed during the production of the main rudder that is then chopped and compression molded, then incorporated into the overall rudder structure, thus forming a closed-loop recycling process.  This novel use of reclaimed materials further strengthens the optimization of secondary processes for thermoplastic composites that also include welding, overmoulding and spin-welding inserts. The award was presented during the JEC Americas awards ceremony on Wednesday May 4th 2016 in Atlanta, GA, United States. 

Design freedom
Designed by Fokker, the access door panel demonstrates a number of interesting design features. These include molded stiffening ribs, thickness variations and in-molded holes with bosses. The reclaimed and chopped C/PPS semi-preg allows for an increased design freedom, resulting in a lightweight component with a large degree of function integration. 

Green composites
A key advantage of thermoplastic composites is their capacity to be recycled, which is increasingly important factor when selecting material solutions in an environmentally aware supply chain. Nick Tiffin, European Director of Sales & Marketing of TenCate Advanced Composites stated: “We are delighted to support this project and applaud the outcome and recognition as it demonstrates the end-of-life possibilities alongside optimising “buy to fly” recycling options for thermoplastic composite materials.”

At TPRC we developed the process and designed the mold suitable for the chopped woven C/PPS prepreg, TenCate Cetex®, material. GreenFields, a part of TenCate Grass, has installed five FIFA-certified synthetic turf pitches in Tunisia in recent months. These are in Ajim Djerba, Carthage, Korba, Menzil Bourguiba and Kram. The installations of another four pitches are currently finalized. At Étoile Sportive du Sahel from Sousse two pitches are installed at the same time. GreenFields is the only FIFA-preferred producer in this country having FIFA recommended pitches installed locally. 

Football in Tunisia is by far the country’s most popular sport. The market is large and uncoordinated and much if not most of the competition is price based. This was reason enough to organize a seminar in consultation with FIFA on numerous aspects of synthetic turf - and in particular those relating to standards and quality awareness.

FIFA Quality Programme
Until recently Tunisia did not have a single FIFA-certified pitch, now there are five. These were installed by Witco Sports, a Tunisian company and contracting partner of GreenFields exclusively for this country. The pitches are part of the FIFA Quality Programme - an internationally recognized standard for quality and reliability relating to equipment, playing surface, technology and service.

The Supervisory Board will shortly be considering how to fill the vacancy left by Mr De Vries. The Supervisory Board has invited Mr De Vries to join the Supervisory Board, and he has expressed his willingness to accept.

Mr De Vries will therefore be nominated as a member of the Supervisory Board during the next General Meeting of Shareholders. Mr De Vries began his career at TenCate in Almelo, the Netherlands, in 1990 as Group Director, TenCate Advanced Textiles and was rapidly able to carve out a career. He has held various positions, including, since 23 August 2000, that of CEO and President of the Executive Board. As CEO, Mr De Vries was successful in bringing about the complete transformation of TenCate into an advanced technical textile multinational, with a leading position in key global niches, such as synthetic turf, composites, geotextiles and protective fabrics. 

Loek de Vries: "Once the public offer and the delisting of TenCate had successfully been completed, the time had come for me to assess the situation. The new phase that TenCate is now entering is a logical time to make way for the next generation." 

Jan Albers, Chairman of the Supervisory Board: "We are extremely grateful to Mr De Vries for everything that he has done for the company in the 26 years that he has been connected with TenCate; TenCate owes him a great deal. Danny van Bakel kicked off his career in 2002 with the Dutch first division club Helmond Sport. In 2011 he signed a contract with the Vietnamese club Bình Dương FC. Two years later he joined Đồng Nai FC. The following year he was recruited by Thanh Hóa FC, where the defender has become a fan favourite.

Consistency and safety 
Most clubs in the V-League, the Vietnamese football competition, have implemented extremely intensive training programmes. Training sessions typically take place on the main field with natural grass. TenCate Advanced Composites, a leading supplier of composite materials for aerospace and industrial applications announces a multi-year supply agreement for the SKYe SH09 next generation, multi-purpose helicopter. Marenco Swisshelicopter currently holds over 83 orders on this aircraft. No further financial details will be provided.

Building upon last year’s memorandum of understanding, TenCate and Marenco have jointly advanced the teaming relationship to now include TenCate TC250 and now TenCate BT250E-6 epoxy prepreg systems for fuselage and blade fabrication respectively. Both companies have worked closely together as a team to rapidly develop databases and processes to support this innovative helicopter program. In addition, the agreement includes composite surfacing films of TenCate. Marenco Swisshelicopter has selected these advanced composite solutions from TenCate because of their mechanical performance and TenCate’s experience in supporting new emerging programs.

TenCate Advanced Composites will supply Marenco Swisshelicopter globally, from facilities in the United States of America and the United Kingdom. TenCate Advanced Composites, a market leading developer and manufacturer of advanced composite materials, will be highlighting during the upcoming JEC World 2016 exhibition in Paris, France, the latest material innovations and composite technologies for space, aerospace, automotive and industrial markets. 

The comprehensive range of advanced composite materials from TenCate will be displayed at the JEC World 2016 through a set of unique end-user applications of the materials. Space exhibits include a full scale rocket fairing from Rocket Lab’s all carbon space launch vehicle, built to enable affordable satcom launches into low earth orbit. Aerospace applications include a full sized tail rotor shroud from the SKYe SH09 next generation multi-purpose helicopter of Marenco Swisshelicopter.  

Industrial applications 
Industrial exhibits include thermoplastic unidirectional tapes for recreational, consumer electronics and energy markets. In addition, TenCate will be launching their TenCate AmberTool® HXR series, a multi-axial format which significantly reduces layup time whilst maintaining the easy handling of single ply tooling prepregs. This solution has been specifically designed for where complexity and speed are required and ultimately reducing the overall tooling costs.  

Global expansion 
At JEC World 2016 TenCate will also highlight the global expansions in North America and Europe. In the Langley Mill (Nottingham, UK) facility of TenCate Advanced Composites, the newly completed expansion houses an advanced carbon-free production area for production of low dielectric radome materials along with new unidirectional equipment. This expansion in both capability and capacity will allow TenCate to better serve European customers in both aerospace and industrial markets. The Morgan Hill (California, USA) facility of TenCate Advanced Composites is in the process of completing a circa 3,000 m2 expansion of the advanced thermoplastic unitape production facility. This expansion will support additional capacity and capability of the current tape production.

In 2015, TenCate revenues rose organically by 5% to € 1,159 million. Nominal revenue growth was 11%, to which currency effects contributed + 11% and of which divestments had an effect of – 5%. Military protective fabrics, synthetic turf components and systems as well as aerospace composites accounted for most of the revenue growth.
For the whole of 2015, revenues in the defense market represented 13% (2014: 7%) of the total. EBITA before exceptional items rose to € 68.3 million (2014: € 53.3 million). The increase in the EBITA margin to 5.9% (2014: 5.1%) was primarily due to revenue growth and higher efficiencies at TenCate Grass. Excluding exceptional items, the 2015 group net profit was € 41.6 million (2014: € 24.1 million). Reported net profit after exceptional items was € 34.1 million (2014: – € 45.7 million).

Public offer and appropriation of 2015 result
On 20 July 2015, TenCate and Tennessee Acquisition, a consortium of investors led by Gilde Buy Out Partners, published the intention of a public offer for all TenCate shares. As of 10 February 2016, the consortium had acquired 98% of the shares outstanding. The listing of Royal Ten Cate on Euronext Amsterdam will be terminated on 17 March 2016. While applying provision 30.2 of the articles of association, the executive board, with approval of the supervisory board, has decided not to pay a dividend to holders of ordinary shares and add the net profit to the reserves.
In a possible squeeze-out procedure or buy-out procedure, or other measures as specified in the offer memorandum, shareholders who have not tendered their shares under the offer will therefore in principle be paid an amount per share equal to the offer price.

Unless stated otherwise, the amounts mentioned in this press release relate to the result adjusted for exceptional items. These exceptional items are explained on page 4.

Advanced Textiles & Composites
Revenues of the Advanced Textiles & Composites sector grew organically by 8% to € 531.3 million in 2015 (2014: € 435.3 million). EBITA rose to € 32.9 million (2014: € 27.2 million). The EBITA margin of the Advanced Textiles & Composites sector was 6.2%, similar to the previous year. EBITA as a percentage of average net capital employed increased to 11.1% (2014: 9.1%).

The revenue growth in this sector was mainly due to increased sales from the TenCate Defender™ M portfolio and to continued growth in aerospace composites. The demand for industrial protective fabrics fell sharply as a result of circumstances in the oil and gas industry. The growth in revenues of TenCate Advanced Armour at the end of the year was too limited to offset the sharp decline in previous quarters.

Geosynthetics & Grass
Revenues of the Geosynthetics & Grass sector grew organically by 4% to € 611.7 million in 2015 (2014: € 538.7 million). EBITA rose to € 42.6 million (2014: € 23.5 million). The EBITA margin of the Geosynthetics & Grass sector amounted to 7.0% (2014: 4.4%). EBITA as a percentage of average net capital employed rose to 10.0% (2014: 6.1%).

As in the previous year, most of the revenue growth came from synthetic turf components and systems of TenCate Grass. Excluding currency effects, revenues of TenCate Geosynthetics were slightly lower than in the previous year.

The rise in EBITA margin in this sector was mainly due to improved efficiencies through higher utilisation rates at TenCate Grass.

Other activities

At the beginning of 2015, an agreement was reached with US private equity firm Platinum Equity on the sale of TenCate Enbi. The disinvestment of Xennia Technology to Sensient Technologies Corporation followed at the end of the second quarter of 2015. Since these divestments, Other activities relate exclusively to the holding activities.

The change in the result from Other activities reflects in particular the divestment of TenCate Enbi and the result from internal currency hedges.

Other financial information

Exceptional items

The 2015 results were affected by exceptional charges of € 8.9 million (2014: – € 77.1 million) related to costs associated with the public offer for TenCate, restructuring costs at TenCate Advanced Armor USA and a provision for bad debt.

Working capital

Working capital increased in 2015 because of organic revenue growth and the higher US dollar exchange rate to € 316.4 million (2014: € 271.5 million).


In 2015, investments were slightly above the level of depreciation: the investment in fixed assets amounted to € 30.5 million (2014: € 24.8 million), depreciation of fixed assets was € 29.4 million (2014: € 31.3 million). The investments were highest at TenCate Advanced Composites and TenCate Grass, market groups that have shown strong revenue growth.


Mainly due to the divestment of TenCate Enbi and Xennia Technologies, the workforce decreased to 3,652 FTEs at year-end 2015 (2014: 4,345 FTEs).

Koninklijke Ten Cate N.V. ("TenCate") and Tennessee Acquisition B.V. (the "Offeror") today jointly announce that as the Offeror has acquired more than 95% of all issued and outstanding ordinary shares in the capital of TenCate (the "Shares") in the public offer for all Shares by the Offeror, the Offeror and TenCate have requested Euronext Amsterdam N.V. ("Euronext Amsterdam") to co-operate with the delisting of the Shares from Euronext in Amsterdam ("Euronext") and that today Euronext Amsterdam has confirmed to the Offeror and TenCate that it has given its consent to such request. Delisting will take place on 17 March 2016 and the last day that the Shares can be traded on Euronext will therefore be 16 March 2016. As announced on 10 February 2016, following the end of the post-acceptance period the Offeror held 98.01% of all issued and outstanding TenCate shares, i.e. excluding 475,687 shares held in treasury by TenCate. In addition, and as previously announced by the Offeror, the Offeror intends to initiate the statutory squeeze-out proceedings (uitkoopprocedure) to obtain 100% of the Shares as soon as possible.

Within TenCate Grass, Turf Systems Development R&D is responsible for the development of the synthetic turf systems for GreenFields and TigerTurf across the world. Bart Wijers is head of Turf Systems Development R&D. Over many years his department has acquired a great deal of knowledge and experience relating to the development and production of components for synthetic turf systems, and work is being carried out continuously on improving these. The components, such as synthetic turf fibre, carpet design, shock pad, infill and combinations of these, determine performance, characteristics, consistency and sustainability. The subsoil, the construction and the maintenance of the pitch also play an important part in the performance of the pitch in both the short and the long term.

During the research and development work, the sportsperson is of key importance for TenCate Grass, says Bart Wijers. ‘Sport-technical performance and the sportsperson’s perception are of added value whatever sport is being played. In this we are unique. And, of course we do not lose sight of playability, comfort or consistency.

TenCate Grass also looks at the reuseability of materials, such as the shock pad, and at the potential for as much reuse as possible at the end of their service life. ‘There are three  things that are really important here: sport performance, consistency and reusability.’
